Natalie Fung is a Legal Manager in the Hong Kong office of Conyers. She joined in 2022.
Her practice covers contentious and non-contentious insolvency and restructuring cases with a focus in complex winding up and liquidation applications, appointment of “light touch” provisional liquidators, restructuring by way of schemes of arrangement and large scale asset recovery projects, She also has experience in a wide range of high stakes multi-jurisdictional commercial disputes.
Natalie has advised and acted for insolvency practitioners, financial institutions, Hong Kong and US listed companies, high net worth individuals and bondholder committees on the appointments of liquidators, “light touch” provisional liquidators and restructuring of companies by way of schemes of arrangements in the BVI, Cayman Islands and Bermuda.
Natalie has experience advising shareholders, companies and investors on a wide range of issues including minority shareholders’ rights, unfair prejudice claims, just and equitable winding up proceedings, dissenting shareholders’ rights in proposed mergers and redemption rights. She also has experience advising clients on foreign judgment and arbitral award enforcements and injunctions.
Her corporate clients include state-owned enterprises and companies from various industries including real estate, crypto related business, investment funds, food and beverage business, ecological fertiliser business, raw material development and manufacturing business, chemical industrial business and marketing communications business.
Natalie is a current board member of the 2025 International Women’s Insolvency and Restructuring Confederation, Hong Kong Network.

- Acted for Skyfame Realty (Holdings) Limited in making the application for “light touch” provisional liquidators in Bermuda and advising the company on its restructuring by way of parallel Bermudian and Hong Kong schemes of arrangement.
- Advised Dexin China Holdings Company Limited on its restructuring and successfully obtained orders from the Cayman Islands Court to convene a scheme meeting and subsequently, to sanction the scheme of arrangement.
- Acted for Haimen Zhongnan Investment Development (International) Co Ltd in opposing an application for appointment of liquidators presented against the company in BVI.
- Advising the liquidators of Bull’s-Eye Limited on its liquidation and obtained a letter of request from the BVI Court for the purpose of seeking recognition of the liquidator’s powers in Hong Kong.
- Advising the liquidators of various Cayman Islands segregated portfolio companies and mutual funds on various issues relating to their liquidations and assisting in large scale asset recovery projects.
- Advised and acted for Luckin Coffee Inc. on the successful restructuring of the company’s debt by way of a scheme of arrangement in the Cayman Islands.
- Acted for Century Sunshine Group Holdings Limited and its subsidiaries in the appointment of “light touch” provisional liquidators over the group entities in the Cayman Islands, British Virgin Islands and Bermuda. Subsequently, assisted the provisional liquidators in obtaining recognitions of their appointments in the Hong Kong SAR and Singapore and advised them on the holistic restructuring of the group.
- Acted for Shandong Yuhuang Chemical Co., Ltd in the successful restructuring of the US$300 million senior notes issued by the company’s subsidiary, Rock International Investment Inc., by way of a scheme of arrangement in the BVI.
- Acted for the bondholders of the US$440 million 7% senior guaranteed notes issued by Tunghsu Venus Holdings Limited and successfully obtained an order to appoint liquidators over the company.
